Choice Of Law And Forum |

Disputes will be resolved by arbitration in Seattle , Washington pursuant to the
Commercial Rules of the American Arbitration Association, by one arbitrator who is appointed in accordance with such rules and is knowledgeable with respect to
the electronic information services industry and an attorney in Seattle , Washington
. The duty to arbitrate will extend to any employee, officer, agent or affiliate
of either party. The arbitrator's award will be final and binding and may be enforced
in any court having jurisdiction. Despite this arbitration provision, requests for
injunctive relief may be made in any court of competent jurisdiction. In order to
facilitate resolution of controversies or claims, the parties agree to keep negotiations,
arbitrations and settlement terms confidential.

Severability And Integration |

If for any reason a court of competent jurisdiction finds any provision of this
Agreement, or portion thereof, to be unenforceable, that provision of the Agreement
will be enforced to the maximum extent permissible so as to effect the intent of
the parties, and the remainder of this Agreement will continue in full force and
effect. A party’s failure to insist on compliance or enforcement of any provision
of this Agreement will not affect the validity or enforceability, or be a waiver
of future enforcement, of any provision of this Agreement.
